Virtual Special Meeting Monday, November 30, 2020 at 6:30 p.m.
Ballots Due Monday, December 7, 2020 by 11:59 p.m.

Pursuant to the Providence Art Club Constitution, Article VI, Section 6, the Board of Managers has approved amendments to the existing Club Constitution. The Proposed Amended Constitution is now being submitted to the Members for adoption. Please Take Notice that the Board of Managers will host an Informational Special Meeting concerning the Proposed Amended Constitution on Monday, November 30, 2020 at 6:30 p.m. Due to the COVID-19 crisis and in response to social gathering restrictions imposed by Executive Order of the Governor of Rhode Island, the Special Meeting will take place virtually through remote communication. Instructions for joining and participating in the Special Meeting will be sent to all Members. Thereafter, voting concerning adoption of the Proposed Amended Constitution will be conducted remotely through this ballot. You may vote (i) by following the directions below, completing the ballot, and clicking DONE to submit your vote or (ii) by requesting a paper ballot by contacting Julia at julia@providenceartclub.org or 331-1114 x16, and completing and returning it to the Providence Art Club, Special Meeting Ballot, Attention:  Elizabeth Zimmerman, Secretary, 11 Thomas Street, Providence, RI 02903.  To be counted, all ballots must be completed and received no later than 11:59 p.m. on Monday, December 7, 2020.

Important Dates
Informational Virtual Special Meeting to review the Proposed Amended Constitution and to respond to members' questions to be held on:
Monday, November 30, 2020 at 6:30 p.m.

(ZOOM invite to be sent the morning of 11.30.20). The Virtual Special Meeting will be recorded and made available for viewing on the members' section of the Art Club website until the close of voting on December 7, 2020.

BOM and Governance Committee will be available to answer questions at the Virtual Special Meeting, however, it would be appreciated if questions could be submitted to Julia Hubbard at julia@providenceartclub.org on or before Monday, November 23, 2020 by 11:59 p.m. Responses will be posted on the members' section of the PAC website and read at the Virtual Special Meeting. Results of the Virtual Special Meeting will be posted on the PAC website until the close of voting on December 7, 2020.

The Board of Managers unanimously voted to submit to the membership “Proposed Amendments to the Constitution.”

A “yes” vote adopts the Proposed Amended Providence Art Club Constitution as presented and dated 10-21-20
A “no” vote opposes amending the Providence Art Club Constitution and maintains the existing document.
