Description of Own Your Story Newark
The Own Your Story Newark Initiative is about uniting to focus on making life even better for our neighborhoods in Newark through sharing our stories. Through our individual stories, Newark's Black community will come together to create our very own story-based, media campaign, that will drive social change in our local neighborhoods. 

Our people will be able to see, experience, and be reminded of our beauty as we plan for Newark's future. 

Submitting a Video
We encourage you to submit a 1 to 3 minute video or voice note for possible inclusion in our community-designed campaign. All submissions are subject to our editorial standards.

When you submit a video to the Own Your Story Newark initiative under TandemEd, LLC. you will:

1. Grant to TandemEd a worldwide, non-exclusive, transferrable, assignable, fully paid-up, royalty-free, perpetual, irrevocable right and license to host, transfer, display, perform, reproduce, modify, distribute and redistribute, adapt, prepare derivative works of, use make, have made, sell, offer for sale, import, and otherwise manipulate your content, under all intellectual property rights therein, in whole or in part, in any media formats and through any media channels (now known or hereafter developed).

2. Grant to each user of our website a non-exclusive license to access and use, but not to copy or redistribute, your video.

3. Affirm, represent, and warrant that you are the creator and owner of the video. You have the necessary licenses, rights, consents, and permissions to use and to authorize TandemEd to use and distribute your video. This includes any person or persons, including yourself, music, graphics, and anything else that requires authorization by a third party. You, the video creator, will be required to produce a signed copy of each necessary waiver before we air your video on our website.

4. Affirm, represent, and warrant that the content in your video does not infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right.

5. Affirm, represent, and warrant that the content in your video does not slander, defame, libel, or invade the right of privacy, publicity, or other property rights of any other person.

6. Affirm, represent, and warrant that the content in your video does not contain anything unlawful or that a reasonable person could deem to be objectionable, offensive, indecent, pornographic, harassing, threatening, embarrassing, distressing, vulgar, hateful, racially or ethnically offensive, or otherwise inappropriate.

7. You affirm, represent, and warrant that your video is not advertisement or sales-presentation for a product, person, or service.

8. You affirm, represent, and warrant that the content in your video does not contain any viruses, adware, spyware, malware, worms, or other malicious code that could harm the TandemEd website or users. You understand that any violation of these third-party rights may be subject to criminal and civil liability, and TandemEd will not hesitate to pursue legal action should anyone violate these terms.
 
TandemEd may host your videos through YouTube, and as such, we recommend that you also read, understand, and agree to the terms of service on their website available at youtube.com.
Copyright and the Digital Millennium Copyright Act

You should acquire permissions to use any copyrighted material for your video. This applies to any third party content including, but not limited to, graphics, music, and other sound, voice overs, software, text, photographs, and video. Using any of this material without the express and legal permission by the owner is strictly prohibited and will not be tolerated. We reserve the right to disable or delete, without notice, any content that is found to be infringing upon these copyright terms. Furthermore, the unauthorized submission or distribution of copyrighted or other proprietary content is illegal and could subject you to criminal prosecution as well as personal liability for damages in a civil suit. You will be liable for any damage resulting from any infringement of copyrights or proprietary rights, or from any other harm arising from such submission.
 
TandemEd operates in accordance with the Digital Millennium Copyright Act (the "DMCA"). The DMCA provides recourse for copyright owners who believe that material appearing on the internet infringes their rights under U.S. copyright law.

If you have reason to believe that materials on the TandemEd website infringes your copyright, you (or your agent) may send us a notice requesting that the material be removed, or access to it be blocked.

Third Party Websites

We may be hosting user submitted videos through a third party website, such as YouTube. TandemEd does not endorse any of these sites, nor the information, materials, products, or services contained on or accessible through them. Access and use of these third party websites, including the information, materials, products, and services on or available through them should be solely done at your own risk.

Ownership 

Except as expressly authorized by TandemEd, you agree not to sell, license, distribute, copy, modify, publicly perform or display, transmit, publish, edit, adapt, create derivative works from, or otherwise make unauthorized use of any of our materials.

Indemnification

You agree to hold harmless and indemnify TandemEd, LLC. and its employees, Own Your Story Newark agents and representatives, from and against any third party claims arising from or in any way related to your use of our website, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgements, litigation costs and attorneys' fees, of every kind and nature.
As-Is: Warranty and Damages

The videos on the TandemEd website are presented "As-Is" with no warranty of any kind. You use the website at your own risk. TandemEd Expressly disclaims any warranty, express or implied, regarding the website, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement. TandemEd does not warrant that our website will operate in an uninterrupted or error-free manner or that it is free of viruses or other harmful components. Under no circumstances will TandemEd be liable to you for any indirect, incidental, consequential, special or exemplary damages arising out of or in connection with use of the service whether or not you have been advised of the possibility of such damages. Under no circumstances shall TandemEd be liable to you for any amount for services rendered pursuant to this agreement.

Liabilities

To the maximum extent permitted by applicable law, you hereby release, and waive all claims against TandemEd, LLC., Own Your Story Newark and it's employees and agents from any and all liability for claims, damages (actual and consequential), costs and expenses (including litigation costs and attorneys' fees) of every kind and nature, arising out of or in any way connected with use of the TandemEd website.

You specifically acknowledge that TandemEd will not be liable for content or the defamatory, offensive or illegal conduct of any third party and that the risk of harm or damage from the foregoing rests entirely with you.

Right of Modification

We reserve the right to update, modify, or change the terms of service at any time.
