Board Member Job Description

The Board Member of Lamaze International plays a critical role in governing the association, setting strategic direction, and ensuring the organization fulfills its mission. As a fiduciary, the Board Member is responsible for overseeing the association’s operations, finances, and programs, ensuring they align with the organization’s goals and values. This is a leadership position that requires time and commitment. This is done in collaboration with a paid professional staff.
Key Responsibilities:

Responsibilities of Individual Board Members
Each board member is expected to:
  • uphold the legal duties and laws regarding nonprofit governance
  • follow the organization’s bylaws, policies, and board resolutions
  • sign an annual conflict-of-interest disclosure and update it during the year, if necessary, as well as disclose potential conflicts before meetings and actual conflicts during meetings
  • know the organization’s mission, policies, programs, and needs as well as understand its collective purpose
  • faithfully read and understand the organization’s financial statements and board materials in advance of meetings
  • Act in the best interest of the association, placing the organization’s needs above personal or professional interests.
  • serve as active advocates and ambassadors for the organization
  • assist in identifying and recruiting board members
  • leverage connections, networks, and resources to develop collective action to achieve the organization’s mission
  • give a financial donation or solicit donors
  • prepare for, attend, and conscientiously participate in bi-monthly board meetings
  • complete assignments and respond promptly to inquiries and calls to action
  • act as a liasion to Lamaze International Councils or Committees
  • commit to ongoing education and development to enhance board service.
  • respect the experiences of all who bring their voices and lived experiences into the boardroom and the organization
  • work collaboratively with staff and partners
    maintain confidentiality about all internal matters of the organization

Anticipated Time Commitment:
Board members will participate in virtual and in-person board meetings, may be assigned to taskforces or committee liaison roles, may be asked to represent Lamaze at external meetings and may engage in outreach, fundraising and training. On average, at-large directors may anticipate 5-10 hours monthly. Board members serving on the executive committee may anticipate 10-20 hours a month. Board appointments are 3 years and up to 7 years if appointed to an executive committee role.
